This Host and Content Provider Agreement (the “Agreement”) is made and effective as of your date of registration.

Between:

Campaign Promotions, LLC - Small Business Success Network (the "Small Business Success Network"), a corporation organized and existing under the laws of the state of Georgia, with its head office located at:

655 Roberts Street, Summerville, Georgia, 30747, United States

And the "Content Provider (Host)" who is defined in the previous fields.

Before you continue, you should print off or save a local copy of the Host and Content Provider Agreement for your records. The most recent version of the Host and Content Provider Agreement can be reviewed at any time by clicking 'Radio Host' tab in your profile or by clicking the "Host Terms of Use and Service" from the 'Support' tab from the top menu.

The terms are defined as follows:

For good and valuable consider, receipt of which is hereby acknowledged, Small Business Success Network and Content Provider (Host) hereby agree as follows:

1. License to Exploit the Content

1.1 Grant of License

Subject to the terms of this Agreement, Content Provider (Host) hereby grants Small Business Success Network a worldwide license to use, copy, display and perform (privately or publicly), publish, transmit, distribute, sublicense and exploit the Content in whole or in part, separately or together with the Content Provider (Host) Trademarks, on or in connection with the promotion or marketing of Small Business Success Network Service in any medium, now or hereafter devised, including, without limitation, in connection with any demonstration, promotion, advertisement or publicity of a Small Business Success Network Service. Without limitation of the foregoing, the rights granted to Small Business Success Network including the following: (i) the right to enter the Content and Content Provider (Host) Trademarks into Small Business Success Network's files, storage space and databases; (ii) the right to store, process, retrieve and transmit and to authorize others to store, process, retrieve and transmit the Content and Content Provider (Host) Trademarks on or in connection with an Small Business Success Network Service in any manner or media, now known or hereafter discovered or devised; (iii) the right to reasonably juxtapose and combine the Content with materials owned and/or controlled by Small Business Success Network, and/or by third parties for the purpose of promoting and advertising the Small Business Success Network Service; and (iv) the right to offer the Subscribers the option of printing and Downloading for personal use all or any portion of the Content and Content Provider (Host) Trademarks to the Subscriber's computer hard drive or onto a separate disk.

1.2 Exclusivity

The license granted to Small Business Success Network herein shall be exclusive. Content Provider (Host) warrants and represents that (i) the Content has not previously been used, displayed, performed, published, transmitted, distributed, advertised, demonstrated, promoted or otherwise exploited, directly or indirectly, by or to the public, in connection with any on-line computer service or any other form of interactive on-line service (That the content used on Small Business Success Network is unique); and (ii) the Content will not be used, displayed, performed, published, transmitted, distributed, advertised, demonstrated, promoted or otherwise exploited in any manner, directly or indirectly, by or to the public, in connection with any on-line computer service or any other form of interactive service except as specifically authorized by the terms of this Agreement Small Business Success Network and Content Provider (Host) acknowledge and agree that breach of this Section by Content Provider (Host) shall entitle Small Business Success Network to injunctive relief for breach thereof.

1.3 Content Providers (Host) Use of the Content

Content Provider (Host) may use the provided Content so long as credit to Small Business Success Network is given by means of a link back Small Business Success Network Website and at least 30% of it has been reworked to avoid search engine penalties.

Content Provider (Host) may also take credit as the author for their Content on the Small Business Success Network, unless hired as a ghost writer, on the conditions that Small Business Success Network be quoted as the originating source.

1.4 Website

Content Provider (Host) will have the right to create and/or maintain its own website for any purpose which is not competitive with Small Business Success Network.

2. Supply of Content

Content Provider (Host) shall furnish the Content to Small Business Success Network in accordance with the Delivery Schedule. Thereafter, during the Term of this Agreement: (i) Content Provider (Host) shall create, update and maintain the Content (and without limitation, perform in all material respects the obligations specified in term 2.1 in connection therewith); and (ii) provide the Content for publication and distribution on the Small Business Success Network Service.

2.1 Delivery Schedule

Delivery Schedule includes a minimum one(1) interview or radio show per week, unique website content, plus additional resources and regular website interaction with members via blogs, forums and other mediums. Should any other agreement be made it shall be done in writing and agreed upon by Small Business Success Network and Content Provider (Host).

2.2 Failed Delivery Schedule

If within seven (7) days after receipt by Content Provider (Host) of a Delivery Notice from Small Business Success Network, Content Provider (Host) fails in any material respect to deliver substantially all of the Content referenced in such Notice, this Agreement may be terminated by written notice from Small Business Success Network to Content Provider (Host).

3. Small Business Success Network shall have the following service function responsibilities:

3.1 Use reasonable efforts to establish, maintain and operate the Service Segment and Small Business Success Network Service at its expense pursuant to the terms of this Agreement;

3.2 Host content on servers and provide specifications, and support for Content Provider (Host) to transport their content to the Small Business Success Network Service; including the maintenance of file or storage space reasonably sufficient to store current Content made available by Content Provider (Host) for a reasonable time consistent with commercially prudent operation of the Small Business Success Network Service, provided Small Business Success Network shall not be obligated to archive Content that has been updated, replaced or becomes obsolete;

3.3 Provide such development and authoring tools and such other Small Business Success Network Software (including any updates, upgrades and enhancements of such) as Small Business Success Network determines in its sole discretion to make generally available to Content Provider (Host) (subject to Section 2(b) of the Standard Terms) for the purpose of allowing Content Provider (Host) to design, develop, launch, test and implement its Content on the Small Business Success Network Service;

3.4 Provide such training as Small Business Success Network determines in its sole discretion to make generally available to Content Provider (Host), on terms that are at least as favorable as the terms generally available to other Content Provider (Host);

3.5 Provide network access to the Small Business Success Network Service or other Internet access service as may be offered by Small Business Success Network, as well as general access to users from other Internet access Providers;

3.6 Provide various operational features for a competitive on-line service which may include Information access, on-line communications and applications, file copy services, electronic shopping capabilities, Email, chat forums, bulletin boards, and Internet standard security for transactions and user data input, all subject to Small Business Success Network's right to determine, in its sole discretion, the features that will be available with the Small Business Success Network Service and the date of availability;

3.7 Provide customer care, including develop and promulgate guidelines for customer care and service, maintain a subscriber registration process, perform all billing and college functions, manage billing inquiries and complaints, collect usage data, develop and adhere to quality control functions, provide customer support and refer inquiries to Content Provider (Host) where necessary, monitor and maintain system performance.

4. Advertising and Promotion

Small Business Success Network shall have the right to enter into agreements with advertising sales agencies which grant them the right to sell advertising on the Small Business Success Network Service, including advertising for inclusion in any page or screen which includes the Content. Small Business Success Network or any such advertising sales agency engaged by Small Business Success Network shall be entitled to obtain advertisements for inclusion on any screen which contains Content Provider (Host)'s Content, provided such advertisements: (i) shall comply with the Small Business Success Network Advertising Standards and Content Provider (Host) Advertising Standards; (ii) shall not be juxtaposed with or appear to be part of the Content; and (iii) shall make no statement to the effect or which implies that Content Provider (Host), any Content Provider (Host) Brand or any owner or creator of the Content certifies, endorses or guarantees the Small Business Success Network Service, any segment thereof, any other Content Provider (Host) of content or service or any other service or product.

5. Electronic Commerce

Content Provider (Host) may offer products and/or services for sale on the Small Business Success Network Service, provided that: (i) the Content Provider (Host) complies in all material respects with Small Business Success Network’s customer care guidelines, and (ii) such offers are approved in advance by Small Business Success Network, which approval shall not be unreasonably withheld. In the event an offer is not rejected by Small Business Success Network within ten (10) business days after it is presented to Small Business Success Network by Content Provider (Host) for approval it will be deemed approved. In addition once an offer is approved, such approval shall apply to subsequent offers of product(s) and service(s) that are substantially similar. Small Business Success Network shall have responsibility for providing Electronic Commerce Operations with respect to the sale of any products or services pursuant to this Article V (consistent with technical capabilities of an Internet based on-line service) at a standard consistent with Small Business Success Network's customer care practices.

5.1 Commerce Products

Commerce Products owned by Content Provider (Host) and are not related to and not created for Small Business Success Network will be sold as affiliate products, not to be licensed under the Small Business Success Network Agreement.

6. Revenues and Payment

6.1 Payment Medium

Small Business Success Network will pay Content Provider (Host) on the first day of each month for the proceeding month via PayPal.

6.2 Payment Terms

Small Business Success Network will send Content Provider (Host) a PDF Document via electronic mail with the agreement concerning monetary compensation. If Content Provider (Host) accepts the agreement Content Provider (Host) is to print it, sign it, scan it and return it via email using the reply command to the senders address (@small-business-success-network.com)

6.3 Payment Term Revisions

If you are not in acceptance of the outlined terms you are to reply to the senders address (@small-business-success-network.com) to further discuss said terms. When an agreement has been reached you are to print it, sign it, scan it and return it via email using the reply command to the senders address (@small-business-success-network.com).

7. Marketing Materials

7.1 In the event Content Provider (Host) accepts the marketing responsibility as outlined in the Payment article 6.2 (PDF), Content Provider shall upon request by Small Business Success Network, promptly furnish to Small Business Success Network, graphics, artwork and/or other materials now in existence or which come into existence during the Term, as Content Provider (Host) determines to furnish in its reasonable discretion, for the advertising and promotion of the Content, and its availability on the Small Business Success Network Service, to be used by Small Business Success Network and by third parties authorized by Small Business Success Network, solely for the purpose of advertising and/or promoting the Small Business Success Network Service; provided, however, that no change or modification can be made to such materials without Content Provider (Host)'s prior approval, which approval shall not unreasonably be withheld, and further provided, that in the event such a request for approval is not rejected within ten (10) business days after submission to Content Provider (Host), it will be deemed approved.

7.2 Content Provider (Host) Marketing Responsibilities

In the event Content Provider (Host) agrees to accept marketing responsibilities in relation to the payment scale delivered by email in 6.2; Content Provider (Host) shall actively promote and market the Content and its availability on the Small Business Success Network Service, as soon as reasonably practicable and after reasonable collaboration with Small Business Success Network. Content Provider (Host) shall secure and pay for, at its sole cost and expense, advertising, in any media, of the Content and its availability on the Small Business Success Network Service and shall mention the Service Segment in all such advertising, and in all media packaging of Derivative Products. Content Provider (Host) may determine in its discretion the amount of advertising and the allocation of advertising among different media. Upon Small Business Success Network's request, Content Provider (Host) shall furnish Small Business Success Network with a description of its advertising program no more often than once every 30 days during the Term. The content of all such advertising shall be subject to the prior written approval of Small Business Success Network, which shall not be unreasonably withheld. No advertising or any promotion shall make any use of Small Business Success Network's name or logo, or the name or logo of the Small Business Success Network Service or any segment thereof, or any other property of Small Business Success Network, without Small Business Success Network's prior written approval, provided, however, that approval to use the name of the Small Business Success Network Service and/or the Service Segment shall not be unreasonably withheld. If Small Business Success Network does not reject any advertising or promotional content or materials within ten(10) business days after it has been submitted to Small Business Success Network by Content Provider (Host) for approval, such advertising or promotional content or materials shall be deemed approved.

7.3 Small Business Success Network will consult with Content Provider (Host) concerning co-marketing opportunities for the Service Segment and Content Provider (Host)'s Content as well as the organization, direction and other aspects of the Small Business Success Network Service. Small Business Success Network will include references to Content Provider (Host) and Content Provider (Host) Trademarks in advertising that includes the names of other Anchor Content Provider (Host) of the Service Segment.

7.4 If Small Business Success Network, in its discretion, elects to create and use marketing materials which mention the Content and/or the Content Provider (Host) Trademarks (other than any marketing materials in which the Content Provider (Host) Trademarks appear in whole or in part in a list of Content Provider (Host) on the Small Business Success Network Service), Small Business Success Network shall furnish Content Provider (Host) an opportunity to review and approve such materials prior to their initial publication or distribution, which approval shall not be unreasonably withheld. If such materials have been approved by Content Provider (Host), Small Business Success Network shall have the right to create, publish and distribute, without additional approval, subsequent marketing materials which mention Content Provider (Host), the Content and/or the Content Provider (Host) Trademarks in a substantially similar manner, provided that Small Business Success Network shall use reasonable efforts to furnish Content Provider (Host) with copies of all such marketing materials prior to their appearance in any media or through any retail or other public presentation. If Content Provider (Host) does not reject marketing materials within ten(10) days after it has been submitted to Content Provider (Host) by Small Business Success Network for approval, it shall be deemed approved.

8. Non-Solicitation

Content Provider (Host) agrees that shall not directly or indirectly (i) provide any interview or business resource content for use on an on-line service, or (ii) solicit or enter into any negotiations or agreement with any on-line service Content Provider (Host) concerning the possibility of providing content relative to the Service Segment for the duration of the contract term plus three (3) months.

8.2 Exclusions

Media appearances and Content for non-related websites or to promote Content Provider and Content Providers professional services excluded.

9. Subscriber Information

At Content Provider's (Host) request, Small Business Success Network will provide Content Provider (Host), without charge, with user profile information ("User Profile Information"), as determined by Small Business Success Network in its reasonable discretion that describes the habits, usage patterns and/or demographics of Subscribers as a group, subgroup or a class of Subscribers. Information identifying the name or address (electronic or physical) of a Subscriber ("Individual Subscriber Information") will be provided to Content Provider (Host), without charge, to the extent readily available, solely in connection with Content Provider (Host) Transactions and solely for Content Provider (Host)'s internal use in connection with product or service registration, accounting, research and marketing. At Small Business Success Network's discretion, Individual Subscriber Information may be provided to Content Provider (Host), without charge, solely for the purpose of enabling Content Provider (Host) to design, implement or create a marketing program whereby Content Provider (Host) makes a special offer or communication relative to its products and/or services to a targeted group of Subscribers, subject to each individual Subscriber's right to elect not to receive any such offers or communications.   Individual Subscriber Information related to Content Provider (Host) Transactions which is collected by Small Business Success Network shall be Confidential Information and shall be treated as such by the Content Provider (Host). Small Business Success Network will not disclose any General Profile Information or Individual Subscriber Information which is derogatory to or critical of Content Provider (Host) or any officer, director, agent or employee of Content Provider (Host).

General Profile Information shall not be used by Content Provider (Host) except in connection with providing Content for the Small Business Success Network Service, except that Content Provider (Host) may disclose such Information, pursuant to appropriate nondisclosure agreements, to potential advertisers and sponsors for the purpose of soliciting advertising, additional Content and Sponsorship for the Small Business Success Network Service. All other information provided by Small Business Success Network to Content Provider (Host) pursuant to this Section shall be solely for the use of Content Provider (Host) pursuant to the terms of this Section and shall not be disclosed by Content Provider (Host) to any person or entity which could reasonably be construed as being a competitor of the Small Business Success Network Service or other Small Business Success Network services.

10. Term

The initial term of this Agreement (the "Initial Term") shall commence on the date of this Agreement and shall continue for a period of one (1) months. After the Initial Term, this Agreement shall continue in effect for an additional term (the "Additional Term") of indefinite duration until terminated by either party upon at least thirty (30) days prior written notice to the other party. This contract may be canceled at any time during the term of this contract with thirty (30) day written notice to the other party. Small Business Success Network reserves the right to continuing using the Small Business Success Network Services provided by Content Provider (Host) during the term of this contract and after termination without interruption.

11. Change of Terms

Small Business Success Network shall have the right at any time to change or modify the terms and conditions applicable in the Host and Content Provider (Host) Agreement, or to impost new conditions. Changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on small-busines-sucess-network.com, or by electronic or conventional mail, or by ay other means by which Content Provider (Host) obtains notice there of. Any use of small-business-success-network.com by Content Provider (Host) after such notice shall be deemed to constitute acceptance by Content Provider (Host) of such changes, modifications or additions.

12. Acceptance of Terms:

In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.

You can accept the Terms by:

A. clicking to accept or agree to the Terms, where this option is made available to upon registration; or

B. by actually using the Services. In this case, you understand and agree that small-business-success-network.com will treat your use of the Services as acceptance of the Terms from that point onwards.

You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract, or (b) you are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are resident or from which you use the Services.

A. The right to use small-business-success-network.com is personal to Content Provider (Host) and is not transferable to any other person or entity. Content Provider (Host) is also responsible for all use of Content Provider (Host)'s Account (under any screen name or password) and for ensuring that all use of Content Provider (Host)'s Account complies fully with the provisions of this Agreement. Content Provider (Host) shall be responsible for protecting the confidentiality of Content Provider (Host)'s password(s), if any.

B. Small-business-success-network.com shall have the right at any time to change or discontinue any aspect or feature of small-business-success-network.com, including, but not limited to content, hours of availability, and equipment needed for access or use.
